Welcome to AppFolio's Code of Business Conduct & Ethics

Introduction

Our actions have a profound impact on our company, our customers and our community, which is why we always do the right thing, even when faced with tough decisions.

In that spirit, AppFolio’s Code of Business Conduct & Ethics (the “Code”) reflects our values and memorializes our commitment to upholding high ethical, professional, and legal standards. It serves as the foundation for our daily and longer-term behavior, decision-making, and actions, providing tools and resources to help us incorporate safe and sustainable business practices into our everyday roles as AppFolians.

Our Values

Simpler is Better

We strive for simplicity by creating intuitive products and services that make it easier for our customers to focus on what matters most.

Innovation Powers Success

We have the confidence to disrupt ourselves to create better outcomes for our customers in how we design and build our products, how we serve our customers, and how we power our business.

Great People Make a Great Company

We believe that every AppFolian has the ability to create extraordinary outcomes. We work hard to find talented people and work just as hard to create an inclusive environment that brings out their best.

Listening to Customers is in Our DNA

We are committed to listening, learning, and being an extraordinary partner to our customers. The voices of our customers are in every idea, every decision, and all that we deliver.

Build Trust Every Day

Trust is not a destination, but something we earn continuously with every interaction. It's what we say and do, it's how we communicate and lead, it's in our practices and our delivery, it's in our safety and security, it's in the decisions we make and why we make them.

We Do the Right Thing; It's Good for Business

We always do the right thing because it’s good for business and even better for the communities we serve.

Navigate the Code

The Code Applies to All of Us

All employees, directors and officers are responsible for reading the Code and becoming familiar with the relevant policies, laws and regulations that guide our work. That means speaking up when you hear or see something wrong or asking for help if you aren’t sure how to handle a situation. We also expect our third-party partners and contractors to act consistently with AppFolio’s values when conducting business on behalf of the Company.

The Code is a great resource, but it will not cover every situation you may face. Use its principles to inform your judgment and know when to ask for help. We are each individually accountable for our own actions and play an important role in contributing to AppFolio’s success. We expect all employees to demonstrate a sense of commitment to this Code, and to foster a culture of fairness, honesty and accountability.

Failure to comply with this Code may result in disciplinary action, including but not limited to written warnings, suspensions, demotions, performance-based compensation impacts and/or termination of employment. Any manager who directs or approves of conduct in violation of this Code, or who has knowledge of such conduct and does not report it promptly, may also be subject to disciplinary action up to and including termination of employment.

Key Takeaways

  1. You are responsible for understanding the Code and upholding our ethical and legal standards.
  2. Use this Code’s tools and resources to help guide your decisions.
  3. Speak up and ask for help when you need it.

Ethical Decision-Making

Ask yourself these questions for the best outcome:

Is this legal?

Does this comply with AppFolio policies?

Does this reflect AppFolio’s values and culture?

Is this in AppFolio's best interest?

Would this represent AppFolio in a positive light in a news headline?

Does this live up to tenets of The AppFolian Way?

If you answer YES to these questions, it’s likely appropriate to move forward.

If the response is NO to any of these questions, stop. There are likely serious consequences to moving forward.

Remember, it is always appropriate to ASK FOR HELP to avoid making a decision with serious consequences. For help, contact your manager, Compliance & Ethics, Human Resources, or the Helpline.

Enhanced Responsibilities for our CEO, CFO and Other Senior Financial Officials

Our CEO, CFO and other Senior Financial Officials have an increased responsibility to help enforce this Code by encouraging others to comply with it and promptly reporting suspected violations of this Code to the Audit Committee of the Board.

Waiver and Amendment

Any waiver or amendment of this Code that applies to any of the Company’s directors or executive officers must be in writing, may only be authorized by the Board of Directors and must be promptly disclosed to stockholders, along with the reasons for the waiver. Any such amendment or waiver will be disclosed in accordance with all applicable laws, rules, regulations and listing standards.
